Constitution of the Guam Running Club

Identification

he name of this association is ÒThe Guam Running ClubÓ
(hereafter referred to as ÒassociationÓ).
The association was begun circa 1970 and, until the adoption of this
constitution, had no written article of government.
II
Object
A.
The object of the association shall be the promotion and
encouragement of running, particularly long distance running.
B.
In furtherance of objective ÒAÓ, this association may hold
championships, races on the road or track, time trials, social runs, lectures,
demonstrations and social events; print and publish books, magazines, gazettes
and newsletters; make awards; and do all such other things as may be incidental
to or conducive to the encouragement of running.
C.
Other objects are to engage in community activities, to make
known by appropriate means the benefits of long distance running and jogging,
and to coordinate with other agencies advocating running as a means of physical
fitness.
III
Affiliation
This association shall be affiliated with the Road Runners Club of America.
IV
Membership
The only requirement for membership shall be payment of dues.
V
Management or
Government
A.
The management of day-to-day operations of this association
shall be vested in a Board of Directors consisting of a president,
vice-president, secretary and treasurer.

The Board, or such other person as it shall designate, shall
have complete supervisory authority over all races and other events sponsored
by the association, and shall promulgate and publicize the rules and
regulations pertaining to applications for entry and participation in the
events of the club, and shall be empowered to assess entry fees for such
events.
2.
The Board, or such other person as it shall designate, shall
be the forum for the resolution of all disputes concerning any events sponsored
by the association, the interpretation of any rule or regulation promulgated
pursuant to VA.1 of this constitution, and such interpretations of this
constitution as are necessary.
B.
Powers and Duties of Officers:
1.
Each officer is empowered to appoint such deputies and
assistants as are necessary to carry out his/her duties and may delegate such
authority to such deputies and assistants as he/she finds necessary, provided,
however, that none of the responsibilities residing in any office may be
assigned to any such deputy or assistants.
2.
President – to preside over meetings, to call any
special meetings, and to appoint committees, chairperson(s) thereof, and such
other officers of the association as he/she finds necessary to carry out the
purposes of the association.
3.
Vice-president –
to assume the powers of the president on his/her absence, to take on
special assignments as requested by the president, and to publicize all races
and other activities of the organization.
4.
Secretary –
to record minutes at meetings, to keep a file of such minutes, and when
requested by the president, to accept assignments involving correspondence and
the keeping of records.
5.
Treasurer –
to be in charge of the finances of the association as directed by the4
Board or its designee.
C.
Eligibility: Officers may be elected to succeed themselves.
D.
Term of Office:
1.
Term of office shall be about one year to commence with the
annual meeting held each year.
2.
Offices filled upon resignation shall also expire at the time
of the next annual meeting.
E.
Annual Meeting:
The annual meeting of the association shall be held in December in
conjunction with the racing event known as the ÒAlley Oop 6.7-mile runÓ,
provided that the Board may, with appropriate notice, change the date and time
of said meeting from year-to-year.
F.
Elections:
1.
Officers shall be elected by majority vote of those present at
the annual meeting.
2.
Prior to each election a committee shall be designated to facilitate
such election.
G.
Procedural Requirements:
1.
Meetings will be conducted in accordance with ordinary
parliamentary procedure.
2.
A majority vote of the members present is necessary to pass
ordinary measures. All measures
shall be deemed ordinary except those proposing a constitutional amendment.
3.
A quorum shall consist of twice the number of elected officers
plus one. No official meeting shall be held unless a quorum is present.
4.
Constitutional Amendment:
a. A
constitutional amendment may be accomplished by a three-fourths vote of the
members present at a properly called and noticed meeting.
b. Only
those who have been members of this association for thirty days prior to the
proposal os such amendment may vote thereon.
c. All
members must be notified at least seven days prior to voting that a
constitutional amendment will be considered. The proposed amendment may then be either accepted or
rejected.
5.
In addition to the annual meeting, the Board may call such
special meetings as it deems necessary.
6.
Notice of the annual meeting or any special meeting may be
made by ordinary mail or by publication of the notice in a newspaper of general
circulation, provided, that in the case of constitutional amendment, the notice
contain information as to where the text of the amendment can be reviewed.
VI
Finances
A.
Annual dues shall be collected by the Treasurer or his/her
designee for a calendar year and shall be in an amount to be
set by the Board of not less than $20.00.
B.
This is a non-profit organization (NGO). Dues, entry fees and other monies
received by the organization will be spent entirely for carrying out the stated
purposes of the association.
C.
Members using association funds for any purpose shall give a
record of expenditures to the Treasurer.
D.
This association will submit a portion of the annual dues
(described in VI.A.) to the Road Runners Club of America as membership in that
body shall require.
VII
Dissolution
In
the event of dissolution of this association, the funds in the treasury, after
all creditors have been paid, shall go to the Road Runners Club of America.
VIII
Effective Date of
Constitution and Amendments
This
Constitution shall be effective upon approval by a majority of the members in
attendance at the meeting of the association held on December 20, 2003, as certified to by the
President or Vice-president and attested to by the Secretary at said meeting,
provided that this Constitution and any amendments thereto only become
effective when filed with the Director of Revenue and Taxation, Government of Guam,
Hagatna, Guam.
